The Education 4.0 community was born out of a number of clear pain points from donors, ministries of education and employment, edtech corporations and incredible NGOs across the Middle East North Africa (“MENA”) region.
Education 4.0 community was launched to help solve these concerns by tracking investments, donations, loans, projects, pilots, interventions and deals across the MENA Edtech ecosystem.
In doing so we will empower the community with better real-time information to make informed decisions on design, delivery, partnerships, impact and scalability.
Each member will have an organization profile that will articulate their goals, projects,
partnerships and opportunities. Our aim is to improve the social graph of the community and
help show unique offerings, investment and project opportunities as well as the key goals sought by member institutions and their affiliates. Shared content libraries will allow the membership to pass on insights about prior successes and shortfalls. The combination of the above allow the members to reflect on their impact and drive for better outcomes.
Education 4.0 was born to solve specific pain points for donors, governments, ministries and NGOs. If we operate as individual organizations then we will continue to fall short. We have to create a growth flywheel to reduce learning poverty in the global south. Education 4.0 is that community!

Membership Agreement ( “ Membership Agreement”)
EDUCATION 4.0, Inc., a Virginia benefit corporation, (hereinafter: “Education 4.0”) provides services related to all EDUCATION 4.0’s constituent members (each a “Member” and collectively, the “Members” or the “Community”)as set forth herein. An organization becomes a Member by executing this Membership Agreement, paying the Fee (as described herein). Now, for good and valuable consideration, the parties hereto agree as follows:
Data – all the data, provided by the Members to Education 4.0, related to the investments, donations, loans, projects, pilots, grants, interventions and deals in education and employment where the Member is a Party.
Donor – a kind of Member with a separate status, that provides funding for the Projects originating from other Members.
Member – shall mean any individual or entity, enrolled under this Membership Agreement, and for whom Education 4.0 has received Fee, if that Fee is applicable.
Project – initiative either funded by a donor agency that is focused on improving worldwide or local education or employment perspectives.
Technical Support – shall be understood as services provided by an external consultancy appointed by the appropriate ministry to support the design of a country wide intervention under a Donor funded program.
Education 4.0 shall perform its activities hereunder in a diligent and professional manner intended to achieve the purpose contemplated herein. Education 4.0 will keep the Members informed as to the progress of the services provided and in particular, will promptly make available information about progress upon request to all Members. Irrespective of the financial contribution provided by the Member, but subject to the Member’s benefits, each Member shall be equal in rights and obligations hereunder this Agreement.
Member or/and Donors shall receive benefits (“Community Member Benefits”) as described beneath:

|4.0||Access to shared content libraries which cover all the deep dive narratives inside the community. These are living documents which showcase the breadth and depth of interventions and programs inside the MENA region.|
|5.0||Opportunity to showcase new interventions, technology or approaches as part of themed tracks at virtual events or in the shared content libraries.|
|6.0||Receive curated details of donor-funded programs in order to target programs and find the right partners.||Technical support can be provided on a project by project basis in line with local procurement and should not be considered a direct membership benefit.||Support with designing programs to target specific areas using the knowledge and insight of the Community.|
|7.0||Ability to use Education 4.0 community assets and insights within their organization and publications.|
|8.0||Ability to access upcoming virtual “unboxing” for approved projects. These events will be open for Members and they will be pre-matched so that Members are alerted about potential partnerships and opportunities. Members will be able to share specific case studies and aligned evidence from the “shared content libraries” with the project team at the unboxing event and in follow up opportunities.|
Each Member acknowledges its obligation under this Membership Agreement to consistently provide the Data to Education 4.0. and to do so on a timely basis
In connection with provision of Data hereunder, the Member hereby grants Education 4.0 a non-exclusive, royalty-free, irrevocable, perpetual license to use all the Data provided for research and insight purposes with the right to sublicense the Data for all of the purposes referred to hereunder.
Members shall uphold the good name and reputation of Education 4.0 and shall use reasonable efforts to promote the Education 4.0 Community. Each Member acknowledges and agrees that its Membership may be terminated, without refund, in the event any Member engages in any action that reflects adversely on the name and reputation of Education 4.0, as determined by Education 4.0 in its sole and absolute discretion. In such circumstances, Member’s Membership Fee is not being refunded.
Notwithstanding anything in this Membership Agreement to the contrary, if a Member fails to provide Data as required by this Membership Agreement, Education 4.0 will provide to such Member a notice of violation (“Notice”), setting forth the circumstances of such failure and the steps the Member must take to cure same. The Member will have a period thirty (30) days to cure such deficiency by either (i) providing the complete Data as required by this Membership Agreement (as determined by Education 4.0 in its sole and absolute discretion), or (ii) providing a satisfactory reason (which shall be determined by Education 4.0 in its sole and absolute discretion). If a Member fails to cure such deficiency within such thirty (30) day period, the Member understands that Education 4.0 may terminate such Member’s status as a Member, in which case Education 4.0 will not refund the Member’s Membership Fee.
An annual fee is based on financial capacity of the Member organization.
Note all the tiers receive the same membership benefits regardless of their ability to pay.

Member agrees to pay the Education 4.0 the following fees:
For organization that reaches less than 10,000,000 USD annual gross revenue – 1,000 USD annual fee payable upon execution of this agreement plus VAT if applicable
For organization that reach more than 10,000.000 USD annual gross revenue and less than 100,000,000 USD annual gross revenue – 10,000 USD annual fee payable upon execution of this agreement plus VAT if applicable
For organization that reach more than 100,000,000 USD annual gross revenue – 50,000 USD annual fee payable upon execution of this agreement plus VAT if applicable
Fees are payable upon execution of this Agreement and will be invoiced annually thereafter, with payment due 14 days following the date of such invoice. Member understands and agrees that Education 4.0 reserves the right to terminate Membership term for which applicable fees have not been paid when due.
For any prospective Members that are government, municipality or political subdivision thereof, whether federal, state, local or any governmental or quasi – governmental agency, authority, board, bureau, commission or non-governmental organization that is not conducting any economic activity (each as determined by Education 4.0 in its sole discretion) the membership is free of any charge.
Education 4.0 reserves the right to audit and review the books and records, including annual financial statements of the Member to verify the correctness of the accrued fees. The Member is obligated to provide the above information within 14 days of the notice sent by the Education 4.0 and failure to provide such information within such time period may result in the termination of Member, without refund, as determined by Education 4.0 in its sole and absolute discretion.
This Agreement becomes effective on the date of the execution of this Membership Agreement by all signatories hereto and shall remain in effect for a one year term, subject to earlier termination by Education 4.0 as set forth herein. The Agreement will automatically renew for the following one year periods. Member may cancel the renewal with a written notice one month before the end of the ongoing term sent to the email address: firstname.lastname@example.org
Each Party may use, and is hereby granted, a non-transferable, non-exclusive right to use the other Party’s trademarks, trade names and other brand elements solely in connection with the Purpose contemplated in this Membership Agreement. Such use shall be in accordance with that reasonable trademark guidelines to be provided and updated by that Party from time to time. Each Party shall retain ownership of all of their respective trademarks.
Member represents and warrants that the provided Data does not infringe or violate any copyright, trade secret, confidentiality obligation, publicity, privacy or other intellectual property or proprietary right of any third party or that Member has not received any communications alleging that the Data has violated or infringed or would violate or infringe any copyright, trade secret, publicity, privacy or other intellectual property or proprietary right of any third party. Member is prohibited to provide Data that is offensive to public order, morals and violates any laws, regulations or ordinances. Member represents and warrants that it has all requisite power and authority to enter into and abide by the terms of this Agreement.
Member further represents and warrants that the provided Data does not contain any personal information or personally identifiable information, including direct identifiers, such as name, address, phone number, social security numbers, driver’s license, passport information, and any other information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular individual.
Member shall defend, hold harmless, and indemnify Education 4.0 (which shall include its officers, directors, stockholders, agents, employees, and legal and personal representatives) against any action or claim brought by an third-party against Education 4.0 and all related costs, damages, and expenses, to the extent arising out of or based on (i) a claim that the Data infringes any copyright, trademark, patent, trade secret or other intellectual property right; (ii) any violation of applicable law, rule or regulation by Member; or (iii) any breach of this Agreement.
Member further agrees to defend, hold harmless, and indemnify Education 4.0 and its officers, directors, stockholders, agents, employees, and legal and personal representatives, from any and all loss, claim, liability, damage, expense or cost (including attorneys’ fees and disbursements attendant thereto) arising out of or in any way connected with Member’s breach of any duty, obligation, representation, warranty and/or covenant in this Agreement.
The Agreement shall be governed by the laws of Commonwealth of Virginia, U.S.A. and the Member consents to the exclusive jurisdiction of the Circuit Court of Fairfax County, Virginia, In the event any party institutes an action to enforce the terms of this Agreement, the substantially prevailing party in such action shall recover its attorneys fees and costs from the non-prevailing party.
This Agreement constitutes the entire agreement and understanding between the parties relating to its subject matter and supersedes any previous agreement between the parties relating to such subject matter. No term of this Agreement is intended to confer a benefit on or to be enforceable by any person who is not a party to this Agreement.
Each Party shall be entitled to publicize the fact that this Agreement has been entered into between the parties. If any provision of this Agreement (or part of a provision) is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable or illegal, it shall be deemed to be modified to the extent necessary to make it valid, enforceable and legal. If such modification is not possible, the relevant provision (or part of a provision) shall be deemed to be deleted and the other provisions will remain in force. Education 4.0 reserves the right to amend the terms of this Agreement by notice, where the Community is eligible to terminate this agreement if the Member does not accept the proposed changes.
